Stamp Tax and Registration and Licence Tax in a Japanese Purchase

These are separate taxes with different documents, events, bases, rates, and relief. Model the sale contract, land, building, ownership registration, and mortgage from current NTA rules.

Do not combine them into “closing tax”

Stamp tax applies to qualifying taxable documents under the current rules. Registration and licence tax applies to registrations such as ownership preservation, ownership transfer, and mortgage creation. They use different triggers and bases. Neither should be estimated as a simple percentage of purchase price without identifying the document or registration.

Build a transaction schedule listing sale contract, construction contract if any, loan document, land registration, building registration, ownership preservation or transfer, mortgage, and other filings. Assign the applicable current rule to each.

Stamp tax follows the document

The National Tax Agency publishes the stamp-tax table for real-estate transfer contracts and current temporary treatment. The amount can depend on the stated contract amount, document form, date, and category. Confirm whether an electronic process changes the taxable-document analysis; do not assume that every PDF or counterpart creates the same liability.

Ask who prepares and retains each original and who bears the stamp cost under the agreement. Check amendments, duplicate originals, construction or renovation contracts, receipts, and loan documents separately where relevant.

The purchase price can contain land and building components, but the stamp schedule is not calculated by applying the registration tax method. Keep the taxes distinct in the closing estimate.

Registration tax follows the filing and statutory base

For real property, NTA's published guidance explains the registration and licence tax framework. The tax base for key registrations generally uses the value recorded in the fixed-asset tax ledger where available, subject to the specific rule. Rates and relief differ for land, buildings, preservation, transfer, mortgage, residence conditions, and transaction date.

Obtain current assessed-value evidence for every parcel and building. Ask the judicial scrivener to identify each registration, base, rate, relief, and supporting document. A land transfer, resale building transfer, newly constructed building preservation registration, and mortgage should not be collapsed into one line.

If an owner-occupied residential relief is modelled, confirm buyer, building, floor area, age or seismic evidence, use, certificate, deadline, and other current conditions. Mark it conditional until the scrivener confirms the evidence.

Work a transparent illustration

Assume only for illustration that a land registration used a verified JPY 40 million base and a 1.5% applicable rate, a building transfer used JPY 20 million at 2.0%, and a JPY 60 million mortgage used 0.4%. The arithmetic would be JPY 600,000, JPY 400,000, and JPY 240,000, totalling JPY 1.24 million before scrivener fees. These assumed rates and bases are not a current tax conclusion and may differ under relief or transaction date.

The example demonstrates why purchase price is not the only input. Replace every base and rate with current official and property-specific evidence.

Separate tax from professional fees

The judicial scrivener's invoice can include registration tax paid on the buyer's behalf, professional remuneration, certificates, postage, travel, and consumption tax on services. Request a breakdown. The tax is not the fee, and the fee is not set by the tax rate.

Likewise, lender fees, guarantee, appraisal, brokerage, acquisition tax, fixed-asset proration, and insurance are separate acquisition items. Preserve each invoice for accounting and later gain calculations.

Closing controls

Before settlement, reconcile the contract and registration schedule to the final estimate. Check property assets, buyer shares, mortgage amount, lender, tax relief, and payment recipient. If the price, borrower, ownership shares, assessed values, or registration route changes, refresh the calculation.

After filing, retain the completed registry evidence, scrivener statement, tax breakdown, stamped contract treatment, and receipts. For a company or investment, route the amounts to the correct accounting accounts rather than expensing every closing cash flow identically.

Refresh the estimate if settlement moves across the end of a temporary measure or relief period; the same property can produce a different amount under a later effective date.
