The short answer
An ordinary residential lease and a fixed-term lease should not be underwritten as the same cash-flow or possession instrument. Ordinary leases can involve renewal and legal limits on landlord termination. Fixed-term leases are designed to end without renewal at the stated term when statutory and contractual requirements are satisfied, but execution, explanation, and notice evidence matter.
Do not classify from a rent roll label. Read the signed lease, pre-contract or explanatory documents, amendments, renewal history, notices, and actual conduct with qualified advice.
Verify the lease formation
Record parties, property, use, start, term, lease type, rent, common charges, deposit, key money, guarantee, insurance, renewal, termination, restoration, subletting, pets, notices, and governing documents. Obtain every signed amendment and side agreement.
For a fixed-term lease, ask what document and explanation were delivered before execution, how the term is stated, and which end-of-term notice applies. Preserve proof. A seller's statement that the tenant “must leave next year” is not a vacant-possession conclusion.
For an ordinary lease, identify renewal terms, fees, notices, and any termination or negotiated-vacancy history. Do not model automatic landlord recovery at the anniversary.
Underwrite rent and term together
A fixed-term lease can support a defined owner-occupation or redevelopment plan, corporate housing, or a tenant seeking certainty for a period. It can also require reletting cost and vacancy at each expiry. An ordinary lease can provide durable occupancy but less control over timing.
Compare contracted rent, effective incentives, achieved market rent, tenant quality, remaining term, renewal, and turnover cost. A higher fixed-term rent may compensate for shorter occupancy; a lower ordinary rent may persist longer than the investment model expects.
Build a 24-month event calendar with required notices, guarantee renewal, rent review, expiry, manager actions, and cash reserve.
Do not use the lease to promise vacant possession
If purchase value depends on personal occupation, renovation, demolition, or sale vacant, obtain legal review of the actual lease and process. State any seller obligation and failure consequence in the sale contract. A planned negotiation with the tenant is not equivalent to an enforceable delivery condition.
Budget notice, manager, legal, restoration, deposit, vacancy, and new use work. Do not assume the tenant accepts payment or relocation.
Management and handover
At acquisition, reconcile tenant identity, payment history, deposit, guarantee, notices, repairs, complaints, keys, and manager. Confirm which rights and liabilities transfer and send verified ownership/payment instructions.
During ownership, keep proof of notices and explanations, respond to repair duties, and calendar events. At sale, disclose the complete lease record. Missing fixed-term evidence can change the buyer's view of possession and value.
Compare the economic uses
An ordinary lease can suit a long-hold strategy because tenant retention reduces vacancy, brokerage, restoration and administrative work. Its disadvantage is that an owner cannot simply refuse continuation because a planned sale or personal use becomes more convenient. A fixed-term lease can align possession with a known date, but the owner should price the greater probability of turnover and should not assume the market will pay the same rent for a shorter or less flexible term.
For underwriting, show the contractual expiry, earliest notice dates, renewal or re-contracting fees, restoration standard and guarantee-company term. Then model the likely path rather than the preferred legal label. If a two-year fixed term is repeatedly re-contracted in practice, the investment still carries leasing cost and re-contracting uncertainty every two years. If an ordinary tenant is paying well below market, the purchase should not be valued as if the rent resets immediately.
Buyer verification checklist
Obtain the complete signed agreement and every amendment, not a broker's rent-roll summary. Check the stated lease type, term, special provisions, notice history, rent and charges, deposit, guarantor, permitted use, occupants and arrears. For a fixed-term lease, ask for evidence of the separate advance explanation and the statutory expiry notice where relevant. Have Japanese counsel or a qualified transaction professional resolve any formation defect before treating the end date as reliable.
The closing schedule should assign responsibility for tenant notice, transfer of deposits, rent apportionment, management handover and delivery of the original lease file. Legal form and operating evidence must tell the same story.
